CREDITedit, LLC Client/Financial Affiliate Access Agreement
 
NOTE:  Mail a hard copy of this Agreement with your initial client(s), along with two (2) forms of valid  ID & proof of TIN/SSN.
 
As a Financial Affiliate professional, you regularly interact with clients who apply for credit. Based on your consultation with your client and your professional judgment, some of these clients may benefit from the credit report auditing & editing services offered by CREDITedit, LLC ("CREDITedit, LLC"). It is, therefore, your intention to sell, enroll and/or refer qualified clients to CREDITedit, LLC, 237 S. DELSEA DRIVE, SUITE 324, VINELAND, NJ 08360, 856.457.3740 (home office), 206.333.0434 (fax), www.MyCreditEdit.com.

Term Of Agreement

This Agreement will become effective on the day you submit your first enrolled client or referral, and will continue in effect until either party terminates this Agreement in writing.

To help you monitor your clients' progress at CREDITedit, LLC, CREDITedit, LLC will provide you with access to an ongoing summary/status of each referred client's case, contingent upon the client authorizing CREDITedit, LLC to do so. In order to receive this access, you agree to:

(1) Disclose CREDITedit, LLC as the provider of credit report auditing & editing services, and disclose CREDITedit, LLC's fees;

(2) Have the client review and execute CREDITedit, LLC's retainer agreement (among other things, the retainer agreement authorizes CREDITedit, LLC to share information about the client's case with you); and

(3) Comply with applicable state law, federal law, and professional responsibilities, if any, at all times.

You further agree that you will not:

(1) Advertise (without prior written approval), resell, or charge any additional fees, other than CREDITedit, LLC's fees, for CREDITedit, LLC's services;

(2) Package or pair CREDITedit, LLC's services with any other goods or services;

(3) Make any promises or guarantees with respect to CREDITedit, LLC's services;

(4) Execute CREDITedit, LLC's retainer agreement on any client's behalf; or

(5) Attempt to circumvent any of CREDITedit, LLC's security measures.
 
Services & Methods of Performance by You
You will determine the method, details, and means of performing the above-described services. You need not meet a minimum quota of referrals. You work under your own name when performing services for CREDITedit, LLC.
 
Commission Compensation
In consideration for the services to be performed by you, CREDITedit, LLC agrees to pay you according to the following commission tier when you submit/complete Disclosure Statement, Service Contract, Credit Reports & valid billing information/payment:
  • up to ten (10) enrolloments per month -- the sum of twenty-five percent (25%) per funded client;
  • over ten (10) enrollments per month -- the sum of thirty-five percent (35%) per funded client;
  • referrals --  ten percent (10%) per funded referral that converts into a sale.
Commissions payable upon client's/referral's payment in full to CREDITedit, LLC.   Commission checks are issued on or about the 15th & 30th day of every month.  From time to time, a "bonus" may be awarded to you for exceptional sales/referrals, and/or this Agreement may be renegotiated.

Employment of Assistants
You may, at your own expense, employ such assistants as you deem necessary to perform the services required of you by this Agreement. CREDITedit, LLC may not control, direct, or supervise your assistants or employees in the performance of those services.
 
CREDITedit, LLC reserves the right to revoke access upon the following: (i) Discovering that you have not complied with the foregoing terms and conditions, (ii) Receipt of notice from one of your clients to revoke your access to their case, (iii) One of your clients closing their case with CREDITedit, LLC, or (iv) For any other reason determined by CREDITedit, LLC, in its sole discretion, that access should be revoked.
 
CREDITedit, LLC shall not withhold any taxes from you. You shall be liable for your own withholding, Social Security, self-employment and other applicable taxes.
 
Governing Law and Jurisdiction
This Agreement is deemed to have been executed and performed exclusively in the State of New Jersey. New Jersey law, without regard to conflict of law provisions, and federal law govern this Agreement. Any legal or equitable action concerning this Agreement shall be initiated only in Cumberland County, New Jersey and both parties agree to submit to the personal and exclusive jurisdiction of the courts therein.
 
Mediation and Class Action Waiver
Before filing a lawsuit regarding any dispute between you and CREDITedit, LLC, you first agree to mediate any dispute by using a third party neutral mediator, to be mutually agreed upon by you and CREDITedit, LLC. The mediation shall take place in Cumberland County, New Jersey. You waive your right, if any, to participate in class action litigation regarding CREDITedit, LLC.
 
Termination Of Agreement
Termination Upon Notice. Notwithstanding any other provisions of this Agreement, either party hereto may terminate this Agreement at any time by giving three (3) days written notice to the other party.
 
Entire Agreement
This Agreement supersedes any and all agreements, either oral or in writing, between the parties hereto with respect to the rendering of services by you for CREDITedit, LLC, and contains all of the covenants and agreements between the parties with respect to the rendering of such services in any manner whatsoever. Each party to this Agreement acknowledges that no representations, inducements, promises, or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein, and that no other agreement, statement, or promise not contained in this Agreement shall be valid or binding. Any modification of this Agreement will be effective only if it is in writing signed by the party to be charged.
 
Severability
If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force without being impaired or invalidated in any way.

By signing below, you warrant your ongoing compliance with the foregoing terms and conditions.
